These Terms of Service and End-User License Agreement, collectively the “Terms,” govern access to and use of the Premier Job Builder websites, staff and administrative portals, secure external links, applications, communications, payment and document features, integrations, AI-assisted features, and related software services, collectively the “Platform.”
The Platform is owned and operated by Ecomtraders & Investments Inc., a Florida corporation doing business as Premier Job Builder.
In these Terms, “Premier Job Builder,” “PJB,” “we,” “us,” and “our” mean Ecomtraders & Investments Inc. d/b/a Premier Job Builder.
A “Subscriber” is the independent contractor, construction company, service company, trade business, or other organization that subscribes to the Platform. An “Authorized User” is an owner, administrator, office employee, field worker, or other staff member given an authenticated account by a Subscriber. An “External Recipient” is a customer, vendor, subcontractor, signer, warranty claimant, or other person who accesses a limited Platform interaction, including through a secure link, without becoming a general PJB account holder.
Important separation between PJB and the Subscriber
Premier Job Builder is a software-platform provider. PJB is not a contractor, subcontractor, construction manager, architect, engineer, inspector, employer of a Subscriber's personnel, warranty provider, lender, escrow agent, debt collector, or creditor for construction or service payments owed to a Subscriber.
PJB does not perform, supervise, inspect, direct, manage, approve, certify, or guarantee construction, renovation, installation, repair, maintenance, warranty, or other work performed by a Subscriber or its employees, vendors, or subcontractors.
PJB is not a party to construction, service, employment, subcontractor, warranty, financing, or payment agreements between a Subscriber and its customers, employees, vendors, subcontractors, or other third parties.
By creating or activating an account, accepting an invitation, selecting “Activate My Account,” “Review and Continue,” or another acceptance control presented with these Terms, or otherwise using the Platform after receiving legally sufficient notice, you agree to these Terms.
If you do not agree, do not activate or continue using the Platform.
1. Eligibility and authority
You must be legally capable of agreeing to these Terms.
If you use the Platform for a business or another person, you represent that you are authorized to act for that business or person and only within the role, organization, project, work order, document, or purpose for which access was granted.
2. The Platform
The Platform may provide tools for:
- customers, contacts, billing addresses, and job or service sites;
- projects, divisions, project phases, schedules, milestones, and calendars;
- vendors, subcontractors, contacts, specialties, assignments, and compliance records;
- products and services, pricing catalogs, spreadsheet imports, and accounting imports;
- estimates, quotes, proposals, options, contracts, revisions, and change orders;
- work orders, checklists, forms, photographs, documents, and field activities;
- employee timekeeping, internal communications, and activity records;
- invoices, draw schedules, payment status, credits, receipts, and accounting synchronization;
- electronic signatures and secure document delivery;
- warranties, installed assets, warranty claims, and service records;
- reports, notifications, and operational dashboards;
- AI-assisted estimating, scope review, document analysis, and import mapping;
- other business and project-management functions.
Features depend on the Subscriber's subscription, configuration, permissions, integrations, and technical or legal availability. PJB may add, modify, restrict, replace, suspend, or discontinue features.
3. The Subscriber is an independent business
The Subscriber independently controls and is solely responsible for its business and trade operations, including:
- licenses, permits, inspections, regulatory compliance, and safety;
- estimates, pricing, deposits, draws, invoices, taxes, fees, credits, refunds, and collections;
- project scope, schedules, milestones, completion dates, delays, and workmanship;
- employees, vendors, subcontractors, suppliers, consultants, and worker classification;
- materials, equipment, installation, warranties, and warranty decisions;
- customer communications, advertising, promises, representations, and contractual obligations;
- payroll, compensation, timekeeping review, workplace policies, and employment decisions;
- compliance with construction, trade, employment, consumer-protection, tax, privacy, and other applicable laws.
A Subscriber's use of PJB branding, software, document tools, payment functionality, integrations, or electronic-signature functionality does not mean PJB recommends, licenses, certifies, endorses, supervises, controls, or guarantees that Subscriber.
4. Separate customer, vendor, subcontractor, employment, and project agreements
The Platform is software. It is not itself a construction contract, service agreement, subcontractor agreement, employment agreement, warranty, financing agreement, or professional-services agreement.
Unless a document expressly states otherwise:
- quotes, proposals, contracts, change orders, invoices, and warranties presented through the Platform are issued by or for the Subscriber;
- customer and project obligations are between the Subscriber and its customer;
- vendor and subcontractor obligations are between the Subscriber and the applicable vendor or subcontractor;
- employment obligations are between the Subscriber and its personnel;
- PJB does not become a party merely because a document is created, stored, transmitted, approved, signed, or paid through the Platform.
If these Terms conflict with a separate signed agreement concerning construction, services, pricing, payments, employment, subcontracting, warranties, or project performance, that separate agreement controls those matters. These Terms continue to govern use of the Platform.
5. Accounts and secure external links
Authenticated PJB accounts are intended for Subscriber-authorized staff and other persons PJB specifically authorizes. Customers, vendors, subcontractors, and other External Recipients may receive limited secure links for a specific quote, signature, work order, warranty request, payment, document, or similar interaction without receiving a general PJB account.
You agree to protect credentials and secure links, use only access assigned to you, and promptly report suspected unauthorized access.
You may not share credentials, impersonate another person, forward a restricted link to an unauthorized person, or attempt to access information outside your permissions.
6. Acceptance records
PJB may maintain electronic evidence of acceptance, including identity, organization, document version and hash, date and time, acceptance action, IP address, and device or browser information reasonably necessary to document the action.
Opening a legal document does not by itself record acceptance. Acceptance is recorded only through an affirmative action presented as agreement or acknowledgment.
7. Limited license
Subject to these Terms, PJB grants Authorized Users and permitted External Recipients a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the authorized business or transaction purpose.
You may not:
- copy, sell, rent, lease, sublicense, or commercially exploit the Platform except as expressly authorized;
- reverse engineer, decompile, disassemble, or attempt to derive source code except where law prohibits that restriction;
- circumvent authentication, organization isolation, permissions, rate limits, subscription limits, or security controls;
- access another Subscriber's or person's information without authorization;
- use scraping, crawling, automated extraction, or other unauthorized automated processes;
- remove proprietary notices or use PJB technology or confidential information to build a competing product without written authorization.
8. Acceptable use
You may not use the Platform for fraud, unlawful surveillance, impersonation, harassment, malicious code, unauthorized access, security testing without authorization, infringement, falsification of records, or other illegal or abusive conduct.
If you are inadvertently shown information you are not authorized to access, stop accessing it, do not copy or disclose it, and promptly notify PJB.
9. Subscriber and User content
Most customer, vendor, project, scope, price, schedule, work, warranty, payment, workforce, and operational information is entered, imported, uploaded, configured, or controlled by the Subscriber or its authorized users. PJB does not independently verify every item.
You retain ownership rights you have in content you submit. You grant PJB and the applicable Subscriber a non-exclusive license to host, store, process, transmit, display, convert, back up, and otherwise use that content as reasonably necessary to provide, secure, support, audit, and operate the Platform and authorized integrations.
You represent that you have the right to submit the content and that doing so does not violate law, contract, privacy, intellectual-property, or other rights.
10. Estimates, quotes, pricing, and AI-assisted features
PJB may provide deterministic estimating and transaction tools together with optional AI-assisted features. AI-assisted features may review job descriptions, measurements, notes, photographs, documents, selected templates, and Subscriber catalog information to ask clarifying questions or suggest scope, line items, descriptions, options, exclusions, classifications, or import mappings.
AI output is probabilistic and may be incomplete, inaccurate, outdated, or inappropriate for a particular job. AI output is a suggestion only and must be reviewed by an authorized person before use.
PJB's authoritative quote calculations, approved catalog prices, taxes, revisions, signatures, and transaction records are controlled by the Platform's deterministic transaction logic and the Subscriber's approved data. AI output does not independently establish an authoritative price, create a binding quote, add an approved line item, send a proposal, accept a proposal, or authorize a transaction.
The Subscriber is responsible for verifying quantities, measurements, scope, pricing, code requirements, engineering, legal requirements, taxes, exclusions, and all other job-specific information before relying on or sending an estimate, quote, proposal, or work instruction.
AI-assisted features are not legal, engineering, architectural, accounting, tax, safety, or other licensed professional advice.
11. Spreadsheet and data imports
The Platform may import CSV, XLSX, accounting, catalog, or other structured data. Automated and AI-assisted mapping may suggest how source columns or records correspond to PJB fields.
The Subscriber is responsible for reviewing import previews, mappings, classifications, units, duplicate warnings, prices, costs, tax settings, and resulting records before approval. PJB does not guarantee that an imported source file is complete, accurate, lawful, or suitable for the Subscriber's intended use.
12. Documents, approvals, and electronic signatures
The Platform may allow preparation, transmission, review, approval, rejection, and electronic signature of quotes, proposals, contracts, change orders, authorizations, work records, warranty documents, and other records.
Unless a document expressly states otherwise, PJB is not a party to it and does not determine its legal sufficiency, scope, price, or enforceability.
Authenticated actions, typed names, checkboxes, signatures, approvals, rejections, timestamps, and secure-link actions may be recorded as evidence of intent and authorization.
13. Electronic communications and records
You consent to conduct Platform-related transactions electronically and to receive Platform-related records through the Platform, email, in-app notices, push notifications, secure links, or another electronic method associated with the transaction or account.
SMS or text messages are sent only when enabled and authorized or otherwise legally permitted. Carrier rates may apply.
You may withdraw consent to electronic Platform transactions by contacting support@premierjobbuilder.com. Withdrawal may prevent continued use of features that require electronic records and does not invalidate earlier transactions.
14. Invoices and payments
The Platform may display invoices, draw schedules, payment status, credits, and receipts and may facilitate payment through third-party processors. The underlying amount is owed to the Subscriber under the applicable agreement, not to PJB merely because PJB software is used.
The Subscriber is responsible for invoice accuracy, amounts due, taxes, fees, credits, refunds, payment schedules, disputes, liens, and underlying goods or services.
PJB is not a bank, lender, escrow agent, construction-payment creditor, or debt collector for the Subscriber's customer obligations. Payment providers may impose their own terms, verification, processing times, declines, reversals, and security controls.
15. Third-party services and integrations
The Platform may connect with accounting systems, payment processors, electronic-signature providers, email and SMS providers, cloud services, mapping services, AI providers, and other third parties.
Third-party services are governed by their own terms and privacy practices. PJB may change or discontinue an integration if the third party changes its service, permissions, technical requirements, pricing, availability, or policies.
16. Employees, field workers, vendors, and subcontractors
A Subscriber may use the Platform for employee timekeeping, work orders, field activity, vendor assignments, subcontractor work, and compliance records.
The Subscriber is responsible for workforce notices, location notices, required consent, wage-and-hour compliance, worker classification, payroll, compensation, workplace policies, vendor and subcontractor agreements, licensing verification, insurance requirements, and other legal obligations.
PJB is not the employer, joint employer, staffing company, or contracting party for Subscriber personnel, vendors, or subcontractors.
17. Privacy
PJB's collection, use, disclosure, retention, and protection of personal information are described in the Premier Job Builder Privacy Policy.
A Subscriber may maintain its own customer notices, workforce policies, location notices, privacy notices, retention policies, and other disclosures. Questions about Subscriber-controlled project, customer, vendor, workforce, invoice, or warranty records may be referred to the Subscriber.
18. Platform ownership and intellectual property
The Platform and its underlying technology, source and object code, architecture, database structures, workflows, interfaces, designs, documentation, features, branding, trade secrets, and know-how are owned by Ecomtraders & Investments Inc. d/b/a Premier Job Builder or its licensors.
Subscriber names, logos, customer information, vendor information, photographs, documents, catalogs, and business content remain the property of the Subscriber or their respective owners.
19. Feedback
If you voluntarily provide suggestions or feedback about the Platform, you grant PJB the right to use, modify, incorporate, reproduce, and commercialize that feedback without compensation or obligation, subject to applicable law.
20. Security
PJB uses reasonable administrative, technical, and organizational safeguards designed to protect the Platform and information processed through it, including organization-scoped access controls. No electronic system can be guaranteed completely secure.
You must promptly report suspected unauthorized access, credential theft, security vulnerabilities, improper cross-organization access, or misuse. PJB may restrict access, invalidate credentials, suspend integrations, or take other reasonable protective measures.
21. Availability and changes
The Platform may be unavailable because of maintenance, software errors, internet or utility interruption, third-party outages, security incidents, natural disasters, governmental actions, or other events. PJB does not guarantee uninterrupted availability.
Subscribers are responsible for maintaining reasonable alternative procedures for time-sensitive safety, construction, field, employment, payment, and customer-service activities during an interruption.
22. Suspension and termination
PJB may suspend, restrict, or terminate access for violation of these Terms, fraud, abuse, unlawful activity, unauthorized access, security risk, Subscriber request, subscription suspension or termination, legal requirements, or protection of PJB, Subscribers, users, or others.
When access ends, records may remain available to the Subscriber or be retained for legal, accounting, tax, warranty, employment, audit, backup, security, and dispute purposes as permitted by law.
23. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PLATFORM, INCLUDING AI-ASSISTED OUTPUTS, IS PROVIDED “AS IS” AND “AS AVAILABLE.”
PJB DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES CONCERNING THE PLATFORM, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
PJB does not warrant that the Platform will be uninterrupted or error-free, that Subscriber or User content is accurate, that AI output is correct, that third-party services will remain available, or that use of the Platform by itself satisfies every construction, trade, employment, tax, accounting, privacy, safety, or recordkeeping obligation.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
24. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PJB AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, USE, GOODWILL, OR OPPORTUNITY ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS.
PJB IS NOT LIABLE FOR DAMAGES CAUSED BY A SUBSCRIBER'S CONSTRUCTION OR SERVICES, WORKMANSHIP, DELAYS, PRICING, BILLING, WARRANTIES, EMPLOYEES, VENDORS, SUBCONTRACTORS, MATERIALS, EQUIPMENT, SAFETY, LEGAL COMPLIANCE, OR A DISPUTE BETWEEN A SUBSCRIBER AND ANOTHER PARTY.
TO THE FULLEST EXTENT PERMITTED BY LAW, PJB'S TOTAL AGGREGATE LIABILITY TO AN INDIVIDUAL USER ARISING FROM USE OF THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT THAT USER PAID DIRECTLY TO PJB FOR PLATFORM ACCESS DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability for fraud, willful misconduct, or another liability that cannot lawfully be limited.
25. Indemnification
To the fullest extent permitted by law, you agree to indemnify and hold harmless PJB and its officers, directors, employees, contractors, affiliates, and licensors from claims, losses, liabilities, damages, penalties, expenses, and reasonable attorneys' fees arising from your unlawful or unauthorized Platform use, material violation of these Terms, unauthorized content, infringement of another person's rights, fraudulent or malicious conduct, or intentional unauthorized access.
26. Disputes involving a Subscriber
Disputes concerning a Subscriber's construction, services, contracts, quotes, prices, invoices, payment schedules, change orders, refunds, warranties, employment decisions, vendors, subcontractors, workmanship, delays, or project performance are between the applicable parties, not PJB.
PJB is not required to investigate, mediate, decide, or resolve those disputes, although PJB may preserve records, restrict access, or respond to lawful requests without becoming a party.
27. Governing law and disputes involving PJB
These Terms and disputes specifically between you and PJB concerning the Platform are governed by Florida law, without regard to conflict-of-law principles, subject to non-waivable rights under applicable law.
Before filing a legal action against PJB, you agree to provide a written description of the dispute to support@premierjobbuilder.com and allow 30 days for informal resolution, unless that requirement is prohibited by law, would cause a legal deadline to expire, or emergency relief is necessary.
To the fullest extent permitted by law, court proceedings specifically involving PJB or these Terms must be brought in a state or federal court serving the Florida county in which Ecomtraders & Investments Inc. maintains its principal place of business when filed, except where applicable law provides a non-waivable alternative or for an eligible small-claims matter.
28. Changes to these Terms
PJB may update these Terms to reflect Platform, business, security, integration, or legal changes. The effective date will be revised when updated Terms are published.
Material changes may be communicated through the Platform, email, or another reasonable method, and PJB may require affirmative acceptance of a new version before continued use. Historical versions and prior acceptance records may be retained as legal and audit evidence.
29. Assignment and force majeure
You may not transfer your account or assign these Terms without PJB's written consent. PJB may assign these Terms in connection with a merger, financing, acquisition, reorganization, sale of assets, or transfer of the Platform or related software business.
PJB is not responsible for delay or failure caused by events outside its reasonable control, including natural disasters, severe weather, fire, flood, war, civil unrest, labor disputes, governmental action, utility or internet failure, cyberattacks, third-party outages, epidemics, or pandemics.
30. Severability, waiver, and interpretation
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue. A failure to enforce a provision is not a waiver. Headings are for convenience, and “including” means “including without limitation.”
31. Entire agreement and order of precedence
These Terms are the agreement between you and PJB concerning end-user access to the Platform. They do not replace the software subscription agreement between PJB and a Subscriber or separate customer, construction, service, employment, vendor, subcontractor, warranty, financing, quote, change-order, or other transaction agreements.
- Separate agreements between a Subscriber and its customers, workers, vendors, subcontractors, or other parties control those underlying relationships.
- These Terms control your access to and use of the PJB Platform.
- The PJB Privacy Policy describes PJB's privacy practices.
- A separate written agreement signed directly by PJB controls only when it expressly overrides these Terms.
